DADDY'S BANK is a brand operated by WHITE OMAR LLC (hereinafter referred to as "Daddy's Bank," "the Company," "we," "us," or "our") and is a commercial finance broker and NOT a bank, savings institution, credit union, mortgage lender, or direct lender of any kind. The Company does not originate, fund, underwrite, service, or hold any loans, lines of credit, cash advances, or other financial instruments on its own balance sheet. White Omar LLC is registered as a limited liability company in the State of Montana and operates nationally as an intermediary between commercial borrowers and third-party lending institutions, private capital sources, and financial institutions (collectively, "Lenders").

The brand name "Daddy's Bank" is a registered trademark and trade name used by White Omar LLC and does not imply, suggest, or represent that White Omar LLC is a chartered bank, federally insured depository institution, or any entity regulated under the Bank Holding Company Act, the Federal Deposit Insurance Act, or any similar state or federal banking statute. Any interpretation of the name "Daddy's Bank" as implying banking authority, deposit-taking capacity, or regulated lending activity is expressly disclaimed.

The submission of any application, inquiry, pre-qualification request, or financial documentation to Daddy's Bank does NOT constitute, imply, or guarantee: (a) approval of financing in any amount; (b) the availability of any specific loan product, interest rate, factor rate, repayment term, or advance amount; (c) the receipt of a commitment letter, term sheet, or letter of intent from any Lender; or (d) the successful closing and funding of any financing transaction.

All financing decisions, credit approvals, underwriting determinations, and funding authorizations are made solely and exclusively by the applicable third-party Lender in its sole and absolute discretion. Daddy's Bank has no authority to commit, bind, obligate, or otherwise act on behalf of any Lender. Any preliminary indications of interest, estimated ranges, or illustrative scenarios communicated by Daddy's Bank are for informational purposes only and are subject to full underwriting by the applicable Lender, verification of all submitted information, satisfactory review of financial documentation, collateral appraisal, and all applicable Lender credit policies.

Daddy's Bank is compensated for its brokerage services in the form of origination fees, broker fees, referral fees, and/or commissions paid by the Lender, the borrower, or both, as disclosed in each applicable engagement agreement, fee disclosure form, or loan documentation. The existence of such compensation does not impair Daddy's Bank's commitment to presenting financing options that are appropriate to each client's stated needs and financial profile.

Clients are encouraged to carefully review all fee disclosures, cost of capital calculations, and total repayment obligations prior to executing any financing agreement. Daddy's Bank does not represent that the financing options presented are the lowest-cost or best available in the marketplace. Clients retain the right to independently seek competing financing offers from other sources at any time.

All information, analyses, product descriptions, educational content, scenario illustrations, deal structures, and communications provided by Daddy's Bank — whether verbally, in writing, electronically, or through any digital platform — are provided for general informational and illustrative purposes only and do NOT constitute financial advice, legal advice, tax advice, investment advice, or any professional advisory services of any kind.

Daddy's Bank strongly recommends that all clients consult with a licensed attorney, certified public accountant, financial advisor, and/or other qualified professional before entering into any financing transaction, business acquisition, real estate investment, or other commercial arrangement. The Company expressly disclaims any liability arising from a client's reliance on any information provided in lieu of independent professional counsel.

By engaging the services of Daddy's Bank, each client represents, warrants, and certifies that all information, financial statements, tax returns, bank statements, corporate documents, and other materials provided to Daddy's Bank and submitted to any Lender on the client's behalf are true, accurate, complete, and not misleading in any material respect. The client acknowledges that the submission of false, fraudulent, materially incomplete, or misleading information in connection with a commercial financing application may constitute bank fraud, wire fraud, and/or other federal or state criminal offenses, and may result in civil liability and criminal prosecution.

Daddy's Bank relies entirely on the accuracy of client-provided information and does not independently audit, verify, or certify the authenticity of any documents submitted by a client. Daddy's Bank expressly disclaims all liability for any consequences arising from the submission of inaccurate, falsified, or misleading documentation by or on behalf of a client.

Daddy's Bank maintains working relationships with a network of third-party Lenders for the purpose of matching clients with appropriate financing solutions. These relationships are arms-length brokerage relationships only. Daddy's Bank is not an agent, employee, subsidiary, affiliate, joint venture partner, or representative of any Lender in its network. No Lender controls or directs the operations, representations, or advisory services of Daddy's Bank, and Daddy's Bank does not control or direct the credit policies, underwriting standards, or funding decisions of any Lender.

Clients acknowledge that each Lender is a separate and independent legal entity, governed by its own terms, conditions, disclosures, and regulatory requirements. Any dispute arising from a funded transaction is between the client and the applicable Lender directly. Daddy's Bank shall not be named as a party in any dispute between a client and a third-party Lender arising out of or relating to the terms, performance, or enforcement of any financing agreement.

Daddy's Bank conducts business on a national basis, serving clients in all fifty (50) United States and the District of Columbia. Clients are solely responsible for ensuring that any financing arrangement entered into complies with all applicable federal, state, and local laws, regulations, licensing requirements, and tax obligations in their respective jurisdiction(s) of operation. Certain products and Lenders may not be available in all states due to state-specific lending laws, licensing restrictions, or regulatory prohibitions.

Nothing in any communication from Daddy's Bank shall be construed as a representation that any particular financing product or transaction is permissible, compliant, or available under the laws of any specific jurisdiction. Clients are responsible for consulting with qualified legal counsel regarding the regulatory compliance of any proposed financing in their state.

Daddy's Bank acknowledges its obligation to handle all non-public, confidential financial information provided by clients with appropriate care and discretion. Client financial information submitted to Daddy's Bank will be shared with applicable third-party Lenders solely for the purpose of evaluating and processing financing applications on the client's behalf. Daddy's Bank will not sell, rent, or otherwise disclose client financial information to unaffiliated third parties for marketing or non-transactional purposes without the client's prior written consent, except as required by law, court order, or regulatory authority.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DADDY'S BANK, a brand operated by White Omar LLC, and its members, managers, officers, employees, agents, and representatives shall not be liable to any client or third party for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages of any nature whatsoever, including but not limited to lost profits, lost revenue, lost business opportunity, or loss of goodwill, arising out of or in connection with: (a) the failure of any Lender to approve, fund, or close any financing transaction; (b) the terms, costs, or conditions of any financing offered or obtained through the Company's services; (c) any delay in the approval, processing, or funding of any financing application; (d) any reliance on information or projections provided by the Company; or (e) any act or omission of a third-party Lender.

Daddy's Bank is committed to conducting its brokerage activities in compliance with the Equal Credit Opportunity Act (ECOA), 15 U.S.C. § 1691 et seq., and all applicable state fair lending laws. The Company does not discriminate against any applicant on the basis of race, color, religion, national origin, sex, marital status, age, familial status, disability, the fact that all or part of the applicant's income derives from any public assistance program, or any other protected characteristic as defined by applicable federal or state law.

This Disclaimer and all matters relating to the services provided by Daddy's Bank shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law principles. Any dispute arising out of or relating to the services of Daddy's Bank that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in the State of Montana in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The prevailing party in any such arbitration shall be entitled to recover reasonable attorneys' fees and costs.

DADDY'S BANK, a brand operated by White Omar LLC, reserves the right to modify, update, or amend this Disclaimer at any time without prior notice. The most current version of this Disclaimer shall be controlling and supersedes all prior versions. Continued engagement with Daddy's Bank following any amendment constitutes the client's acceptance of the revised Disclaimer.
